Terms of Service

1. Acceptance of Terms

By accessing or using the Aquadratic platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Aquadratic LLC operates a digital commerce business that sells digital products directly to customers. We source digital products from independent creators and developers who supply products to us under contractual arrangements. When you make a purchase on our platform, you are purchasing directly from Aquadratic LLC. We are the seller of record for all transactions processed through our platform.

3. Eligibility

You must be at least 18 years old to use our Service. By using Aquadratic, you represent and warrant that you are of legal age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. User Accounts

To access certain features of the Service, you may be required to create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

5. Product Suppliers

Aquadratic works with independent creators and developers ("Suppliers") who provide digital products for sale on our platform. Suppliers operate under contractual agreements with Aquadratic and are compensated for products sold. If you are a Supplier, you agree to:

• Only provide digital products you have created or have full rights to distribute
• Provide accurate descriptions and documentation for your products
• Grant Aquadratic the right to sell and distribute your products on your behalf
• Not provide prohibited items (see Section 7)
• Accept the compensation terms established in your supplier agreement

Aquadratic retains a portion of each sale as outlined in individual supplier agreements. Supplier compensation is paid according to the schedule established in your agreement.

6. Purchases and Transactions

When you make a purchase on Aquadratic, you acknowledge that:

• You are purchasing directly from Aquadratic LLC
• Digital products are delivered electronically to the email address you provide
• You are responsible for providing a valid email address
• All sales are subject to our Refund Policy (see Section 9)
• Aquadratic is responsible for order fulfillment, customer support, and dispute resolution

7. Prohibited Items and Activities

Aquadratic does not sell or permit the sale of:

• Illegal content or products
• Stolen or unauthorized digital goods
• Malware, viruses, or malicious software
• Content that infringes intellectual property rights
• Adult or explicit content
• Gambling or lottery products
• Weapons or dangerous materials
• Personal information or data
• Any product that violates applicable laws

We reserve the right to remove any content and terminate supplier relationships that violate these prohibitions without notice.

8. Payment Terms

All payments are processed by Aquadratic LLC through our payment providers (Stripe, PayPal, NOWPayments). By making a purchase, you agree to pay the listed price plus any applicable taxes or fees. Prices are displayed in USD unless otherwise specified. You are responsible for any additional fees charged by your payment method or financial institution. Aquadratic LLC is the merchant of record for all transactions.

9. Refund Policy

Due to the nature of digital products, all sales are generally final. However, Aquadratic may issue refunds at our discretion for:

• Non-delivery of the purchased product
• Products significantly not as described
• Technical issues preventing product use that cannot be resolved

All refund requests should be directed to Aquadratic at support@aquadratic.com within 7 days of purchase. Aquadratic handles all refunds, disputes, and chargebacks directly.

10. Intellectual Property

The Aquadratic platform, including its design, features, and content, is owned by Aquadratic LLC and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of our Service without prior written consent. Upon purchase, you receive a license to use the digital product according to the terms provided with that product. This license is for personal or business use as specified and does not transfer ownership of the underlying intellectual property.

11. Disclaimer of Warranties

THE SERVICE AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AQUADRATIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE OR PRODUCTS. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify and hold harmless Aquadratic, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, disclaimers, limitations of liability, and indemnification survive termination.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in Texas.

16. Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through informal negotiation. If resolution cannot be reached within 30 days, either party may pursue binding arbitration in accordance with the rules of the American Arbitration Association. Class action lawsuits and class-wide arbitration are not permitted.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.
