Terms of Service

1. Acceptance of Terms

By accessing or using the Aquadratic platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service. We may modify these Terms from time to time, and your continued use of the Service after updated Terms are posted constitutes acceptance of the revised Terms.

2. Description of Service

Aquadratic LLC operates a technology business that provides software development services and processes and administers digital commerce transactions for digital products offered through the platform by independent creators, developers, publishers, and other third-party suppliers ("Suppliers"). For purchases processed through our platform, Aquadratic acts as the merchant of record and the transaction-facing entity responsible for payment processing, order administration, delivery of purchased digital goods or access credentials, customer payment support, refund intake, and dispute handling.

Aquadratic may coordinate customer support with the applicable Supplier for product-specific issues. Unless expressly stated otherwise in writing for a specific product or service, Aquadratic does not represent that it is the original developer, publisher, licensor, or long-term operator of every third-party product offered through the Service.

3. Eligibility

You must be at least 18 years old to use our Service. By using Aquadratic, you represent and warrant that you are of legal age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. User Accounts

To access certain features of the Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access or suspected compromise
• Accept responsibility for activities conducted through your account

5. Suppliers and Supplier Obligations

Aquadratic works with Suppliers who provide digital products, license keys, access credentials, subscriptions, memberships, digital assets, scripts, plugins, templates, software, and related digital goods for offer, sale, or fulfillment through the Service. If you are a Supplier, you agree that you:

• Own, created, license, or otherwise have full legal authority to distribute, sublicense, resell, or provide the products you submit
• Will provide accurate descriptions, functionality details, limitations, requirements, and support expectations for your products
• Will not submit products, keys, access credentials, or content that are stolen, unauthorized, counterfeit, pirated, revoked, or infringing
• Will comply with all applicable laws, regulations, platform rules, third-party terms, export restrictions, and intellectual property rights
• Grant Aquadratic the non-exclusive right to market, list, process payments for, deliver, and administer transactions for your products through the Service
• Will reasonably assist with product-specific support issues, disputes, authorization questions, and investigations related to your products

Supplier compensation, fees, reserve policies, payout timing, and additional commercial terms may be governed by separate supplier-facing policies, dashboard terms, or written agreements in addition to these Terms.

6. Supplier Representations, Warranties, and Remedies

If you are a Supplier, you further represent, warrant, and agree that:

• Your products and related materials do not infringe, misappropriate, or violate any third-party intellectual property, contractual, privacy, publicity, or other rights
• You have all rights, consents, licenses, permissions, and authorizations necessary for Aquadratic to market, process, deliver, and administer transactions for your products
• Your products will materially conform to the descriptions, requirements, and representations you provide to Aquadratic and customers
• You will promptly provide reasonable evidence of authorization, ownership, licensing, or chain of distribution upon request
• You are solely responsible for the legality, authorization, maintenance, continued operability, and supportability of the products you provide, except to the extent a specific issue is caused directly by Aquadratic's own payment, transaction-administration, or delivery systems

Aquadratic may, at its sole discretion and without prior notice, investigate claims relating to a product and take any of the following actions if it believes there is risk of fraud, infringement, unauthorized distribution, chargebacks, customer harm, processor issues, or legal exposure:

• Disable or remove listings
• Suspend delivery or fulfillment
• Request documentation or proof of authorization
• Hold, delay, offset, or cancel Supplier payouts to the extent permitted by applicable law and the parties' agreements
• Issue refunds, reversals, or credits where appropriate
• Suspend or terminate Supplier access

7. Purchases and Transactions

When you make a purchase through Aquadratic, you acknowledge and agree that:

• Aquadratic is the merchant of record and transaction-facing entity for the purchase
• Digital products are delivered electronically to the email address or destination you provide
• You are responsible for providing accurate contact and delivery information
• Product-specific functionality, compatibility, external service availability, and continued support may depend on the applicable Supplier and your own environment, hardware, software, accounts, or third-party platforms
• Aquadratic may provide first-line support and may coordinate product-specific issues with the relevant Supplier
• All sales are subject to these Terms and our Refund Policy in Section 10

8. Prohibited Items and Activities

Aquadratic does not sell or permit the sale, delivery, or fulfillment of:

• Illegal content or products
• Stolen, unauthorized, counterfeit, pirated, or otherwise unlawful digital goods
• Malware, viruses, malicious software, or tools primarily intended to harm systems or users
• Content or products that infringe intellectual property rights
• Adult or explicit content
• Gambling or lottery products
• Weapons or dangerous materials
• Personal information, credentials, or accounts belonging to others without authorization
• Any product that violates applicable laws, regulations, sanctions, or third-party platform rules

We reserve the right to remove products, refuse transactions, suspend accounts, terminate Supplier relationships, and cooperate with payment processors, rights holders, or legal authorities where appropriate.

9. Payment Terms

All payments for purchases processed through the Service are administered by Aquadratic LLC through third-party payment providers, which may include Stripe, PayPal, and cryptocurrency payment processors. By making a purchase, you agree to pay the listed price plus any applicable taxes or fees. Prices are displayed in USD unless otherwise specified. You are responsible for any fees charged by your payment method provider or financial institution. Aquadratic LLC is the merchant of record for transactions processed through the Service.

10. Refund Policy

Due to the nature of digital products, all sales are generally final. However, Aquadratic may issue refunds, credits, or replacements at its discretion in circumstances including:

• Non-delivery of the purchased product or key
• Delivery of an invalid, duplicate, or materially incorrect key or access credential at the time of delivery
• Product materially not matching its listing description
• A verified product-specific issue that substantially prevents initial use, where the issue is reported within the required time period and cannot be resolved through reasonable support efforts by Aquadratic and, where applicable, the Supplier

Refunds will not be issued solely because a customer no longer wants the product, failed to review product requirements, experienced issues caused by their own environment or third-party changes outside Aquadratic's control, or violated applicable usage terms. All refund requests should be directed to Aquadratic at support@aquadratic.com within 7 days of purchase unless a different period is required by law. Aquadratic handles refund intake, disputes, and chargeback responses, and may coordinate product-specific review with the applicable Supplier.

11. Software Development Services

Separate project-based software development, consulting, implementation, or maintenance services offered by Aquadratic may be governed by separate statements of work, proposals, invoices, or service agreements. In the event of a conflict between these Terms and a separately executed written agreement for development services, the separate written agreement will control for that project to the extent of the conflict.

12. Intellectual Property

The Aquadratic platform, including its design, branding, features, text, graphics, code, and other platform content, is owned by or licensed to Aquadratic LLC and protected by applicable intellectual property laws. You may not copy, modify, distribute, reverse engineer, or exploit any part of our Service except as permitted by law or with our prior written consent.

Upon purchase of a digital product, you receive only the limited rights, license, or access expressly provided with that product. Unless expressly stated otherwise, no ownership in the underlying intellectual property is transferred to you.

13. Disclaimer of Warranties

THE SERVICE, PLATFORM, AND ALL PRODUCTS OR SERVICES PROVIDED THROUGH AQUADRATIC ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS, TO THE MAXIMUM EXTENT PERMITTED BY LAW. AQUADRATIC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES. EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR REQUIRED BY APPLICABLE LAW, AQUADRATIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, AQUADRATIC DOES NOT WARRANT THAT ANY THIRD-PARTY PRODUCT WILL REMAIN AVAILABLE, COMPATIBLE, SUPPORTED, AUTHORIZED BY A THIRD PARTY, OR FREE FROM ISSUES CAUSED BY THE CUSTOMER'S ENVIRONMENT, THIRD-PARTY SYSTEMS, ACCOUNT CHANGES, PLATFORM CHANGES, OR SUPPLIER ACTIONS OR OMISSIONS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AQUADRATIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE, ANY PRODUCT, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AQUADRATIC'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE, A PRODUCT PURCHASE, OR THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO AQUADRATIC FOR THE SPECIFIC TRANSACTION OR SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PORTIONS OF THIS SECTION MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify, defend, and hold harmless Aquadratic, its officers, directors, employees, agents, affiliates, contractors, service providers, and licensors from and against any claims, demands, actions, losses, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

• Your use of the Service
• Your violation of these Terms or applicable law
• Your infringement, misappropriation, or violation of any third-party rights
• Your fraud, misconduct, or misuse of any product or the Service

If you are a Supplier, your indemnification obligations also include any claim, investigation, dispute, or loss arising from or relating to:

• Any allegation that a product, key, access credential, listing, brand reference, or related material is unauthorized, infringing, counterfeit, pirated, revoked, or unlawful
• Your breach of any representation, warranty, or obligation under these Terms or any Supplier agreement
• Refunds, reversals, chargebacks, processor fines, reserves, penalties, or costs resulting from your products or conduct
• Any regulatory inquiry, third-party complaint, or legal proceeding relating to your products, rights, or authorization

16. Termination

We may suspend, restrict, or terminate access to the Service at any time, with or without notice, for any reason including suspected fraud, legal risk, policy violations, processor concerns, infringement complaints, or other conduct we believe creates risk to Aquadratic, customers, Suppliers, or third parties. Upon termination, your right to use the Service ceases immediately. Sections relating to payment obligations, intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and any provisions that by their nature should survive will survive termination.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles, except to the extent preempted by applicable federal law.

18. Dispute Resolution

Before initiating formal proceedings, the parties agree to attempt to resolve any dispute informally by contacting the other party and allowing at least 30 days for discussion.

Except where prohibited by law or where a claim may be brought in small claims court, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules. The arbitration shall be conducted in Texas unless the parties agree otherwise. Each party waives any right to a jury trial.

To the maximum extent permitted by law, disputes must be brought only on an individual basis and not as a plaintiff or class member in any purported class, consolidated, representative, or collective action or proceeding. If any portion of this class action waiver is found unenforceable, then the class-related claims shall be severed and proceed in a court of competent jurisdiction located in Texas, and the remaining claims shall remain subject to arbitration.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Any invalid or unenforceable provision shall be modified and interpreted to the minimum extent necessary to make it enforceable while preserving its intent as closely as possible.
